Acceptance of these terms
These Terms of Service ("Terms") govern your access to and use of Teradia (the "Platform"), operated by Sustave (the "Company", "we", "us"). By creating an account, listing material, posting a request, registering a fleet, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
Who can use Teradia
You must be at least 18 years old and legally able to enter into a binding contract. If you use the Platform on behalf of a business, cooperative or other organisation, you confirm that you are authorised to do so and that your acceptance binds that entity.
Accounts and verification
You must provide accurate, current and complete information when registering, and keep it up to date. You are responsible for all activity under your account and for the confidentiality of your credentials. Teradia may request additional verification — including identity, business registration, vehicle documents, or quality information — and may suspend or restrict accounts that fail verification or that we reasonably believe are fraudulent, unsafe or in breach of these Terms.
Roles on the Platform
- Sellers / Waste creators — farmers, processors, mills and waste generators listing biomass and converted agri-waste products (including biochar, organic fertilizers, briquettes, compost and pellets).
- Buyers — energy plants, industrials, traders and other buyers posting RFQs and placing orders.
- Hubs — aggregation groups where members pool inventory and logistics.
- Transporters — verified truck and fleet owners accepting haulage orders.
Listings, requests and orders
You are solely responsible for the accuracy of your listings, requests, prices, quantities, quality claims, delivery commitments and any other content you submit. You may edit, pause or delete your own listings and RFQs at any time, subject to obligations already created through accepted orders or shipments. Teradia provides the marketplace; the underlying contract for the sale, purchase, transport or processing of biomass is between you and the other party.
Quality, safety and compliance
Sellers warrant that material offered is lawfully sourced and substantially matches the description, including biomass type, moisture, quantity and ready date. Buyers and transporters are responsible for inspecting material, complying with applicable storage, handling and transport regulations, and obtaining any required permits. Converted products such as biochar and organic fertilizers must comply with any applicable agricultural-input regulations in the jurisdiction of sale.
Aggregation hubs
Hubs allow members to pool listings, logistics and demand. Hub creators and admins are responsible for the rules of their hub. Pooling a listing into a hub does not transfer ownership of the underlying material; the original seller remains the counterparty unless the hub explicitly takes title in a separate written arrangement.
Fees and payments
Fees applicable to use of the Platform — including any commission on completed transactions and any escrow or payment-processing charges — will be presented to you in-app at the point they apply, and may change from time to time on reasonable notice. Where Teradia operates an escrow or facilitated-payment flow, funds are held on behalf of the transacting parties and released according to the milestones shown in-app. Taxes, duties and bank charges are your responsibility unless we expressly state otherwise.
Disputes between users
Teradia may, at its discretion, help mediate disputes between users, but is not a party to user transactions and is not obliged to resolve them. Users are encouraged to keep clear written records of specifications, prices and delivery terms. Where an escrow flow is in place, disputed funds may be held until the dispute is resolved.
Prohibited conduct
- Posting false, misleading or fraudulent listings or requests.
- Listing material that you do not lawfully own or have the right to sell.
- Listing hazardous, contaminated or regulated material without disclosure.
- Circumventing Platform fees or routing transactions off-platform after introduction.
- Harassing, threatening, or discriminating against other users or Teradia staff.
- Interfering with, probing or attacking the Platform or its infrastructure.
Content you submit
You retain ownership of the content you post (listings, photos, documents, messages). You grant Teradia a worldwide, non-exclusive, royalty-free licence to host, display, reproduce and distribute that content for the purpose of operating, promoting and improving the Platform.
Privacy
We process personal data in order to operate the Platform, verify users, match supply and demand, and provide support. Your continued use of Teradia constitutes acceptance of our data-handling practices as communicated in the Platform.
Disclaimers
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Teradia disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy of listings, quality of biomass, and uninterrupted availability.
Limitation of liability
To the maximum extent permitted by law, Teradia will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data, arising out of or related to your use of the Platform. Our aggregate liability to you for any claim arising out of or relating to these Terms is limited to the fees you paid to Teradia in the three months preceding the event giving rise to the claim.
Suspension and termination
You may close your account at any time. We may suspend or terminate your access if you breach these Terms, create risk for other users, or where required by law. Sections that by their nature should survive termination — including ownership, disclaimers, limitations of liability, and dispute resolution — will survive.
Changes to these terms
We may update these Terms from time to time. Material changes will be communicated through the Platform. Continued use of Teradia after a change takes effect constitutes acceptance of the updated Terms.
Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles. The courts of Lagos State have non-exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.
